Advertising Content Privacy & Compliance Policy

This Advertising Content Privacy & Compliance Policy (“Policy”) is issued by Imbash Pixels (hereinafter referred to as “Company,” “we,” “our,” or “us”). By engaging our services, submitting advertising material, or contracting for the display of advertising campaigns through our LED trucks and associated advertising mediums, you (“Client,” “Advertiser,” or “you”) agree to the terms, responsibilities, and obligations set forth herein. The purpose of this Policy is to clarify ownership, rights, obligations, and liabilities surrounding advertising content, GPS route tracking, campaign reporting, client privacy, and compliance with applicable laws in India.

1. Ownership of Advertising Content

All advertising content including videos, audio recordings, jingles, images, photographs, logos, slogans, catchphrases, scripts, banners, animations, and any other creative materials submitted by the Client for the purpose of display on Imbash Pixels’ advertising vehicles, LED screens, or associated channels, shall remain the exclusive property of the Client. By submitting content, the Client affirms, represents, and warrants that they are the sole owner, lawful licensee, or otherwise fully authorized entity entitled to use such content. Any copyright claims, intellectual property disputes, or third-party compensation demands arising directly or indirectly from the use of Client-provided content shall be the sole responsibility of the Client. Imbash Pixels shall not be held liable in any manner for such disputes. The Client agrees to indemnify, defend, and hold harmless Imbash Pixels, its directors, employees, contractors, and affiliates from any and all legal claims, costs, damages, or losses resulting from allegations of unauthorized use, copyright infringement, or intellectual property violation related to the Client’s content.

2. Review and Rejection of Content

Imbash Pixels retains the unconditional right to review, evaluate, and assess all content submitted by the Client prior to its display on advertising platforms. Imbash Pixels also reserves the absolute right to reject any content at its sole discretion if such content violates the laws of India including but not limited to the Information Technology Act, 2000, or Advertising Standards Council of India (ASCI) guidelines, or if it contains obscene, pornographic, defamatory, hateful, misleading, deceptive, or fraudulent material. Content that promotes illegal activities, violence, discrimination, or socially harmful practices, or misrepresents products, services, individuals, or organizations will also be rejected. Any content deemed unsuitable for public broadcast in the judgment of Imbash Pixels will not be displayed. The decision of Imbash Pixels regarding rejection shall be final, binding, and non-negotiable. No claims for damages, refunds, or compensation shall be entertained in the event of content rejection due to non-compliance with this Policy.

3. GPS Route Tracking and Reporting

Imbash Pixels uses GPS-enabled tracking systems in its advertising vehicles to record and log the geographical locations where advertisements are displayed. Such data is collected solely for the purpose of campaign reporting and to provide transparency to Clients regarding the routes taken, areas covered, and frequency of advertisement display. The GPS data provided to Clients is for informational purposes only. Imbash Pixels does not guarantee audience size, viewership volume, or direct business outcomes from such data. The GPS reports are strictly confidential and may not be disclosed, resold, or published by Clients without prior written consent from Imbash Pixels.

4. Archival of Content and Reporting Obligations

Imbash Pixels reserves the right to archive all advertising content submitted by Clients for the duration of the campaign and for a reasonable period thereafter. Archived content may be stored in secure digital or physical formats for the sole purpose of compliance, record-keeping, and reporting to legal authorities if any complaint, investigation, or legal dispute arises. Imbash Pixels shall not be obligated to maintain or preserve archived content indefinitely and may, at its discretion, delete or destroy such content after the retention period required for compliance.

5. Client Privacy and Confidentiality

Imbash Pixels recognizes the importance of safeguarding Client privacy and undertakes to protect sensitive Client data, including names and identities, contact persons and designated representatives, advertising budgets, amounts paid, quotations issued, campaign performance reports, and GPS tracking data. Such data shall be maintained in strict confidentiality and shall not be disclosed to third parties except where disclosure is legally required by law enforcement, regulatory agencies, or courts of law, where disclosure is necessary to enforce Imbash Pixels’ contractual or legal rights, or where prior written consent of the Client has been obtained. Clients are expressly prohibited from disclosing pricing, quotations, or agreements provided by Imbash Pixels to any competitor, third party, or unrelated entity without explicit written consent. Breach of this confidentiality requirement shall be treated as a material violation of contract.

6. Accuracy and Responsibility of Third-Party Content

Imbash Pixels acts solely as a medium for displaying advertising content and does not assume responsibility for verifying the accuracy, authenticity, or truthfulness of claims made in Client-provided advertisements. Responsibility for ensuring that the advertisement content is accurate, lawful, and not misleading lies entirely with the Client. Imbash Pixels disclaims any liability for consumer complaints, misrepresentation, or damages arising from reliance on the content displayed.

7. Legal Compliance

All advertising campaigns must adhere to the laws and regulations of India, including the Information Technology Act, 2000, the Indian Penal Code, 1860, the Consumer Protection Act, 2019, the Intellectual Property Rights framework of India, and the guidelines of the Advertising Standards Council of India (ASCI). Imbash Pixels shall fully cooperate with law enforcement and regulatory bodies in the event of any investigation, complaint, or violation. Any advertisement found in breach of legal provisions may be immediately suspended, and relevant information may be shared with competent authorities.

8. Limitation of Liability

Under no circumstances shall Imbash Pixels be liable for losses, damages, or claims arising from Client-provided content, loss of revenue, goodwill, reputation, or business opportunities, or any incidental, indirect, or consequential damages arising from campaigns. The maximum liability of Imbash Pixels, under any circumstances, shall be limited to the amount paid by the Client for the specific campaign in dispute.

9. Amendments and Updates

Imbash Pixels reserves the right to update, amend, or modify this Policy at any time without prior notice. Clients are encouraged to review this Policy periodically. Continued use of services after modifications shall constitute acceptance of the updated Policy.

10. Governing Law and Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts in Srinagar, Jammu & Kashmir, India.
